Aktieägaren Google Acquisition Holdings Inc. (“Google”), som efter fullföljd av sitt offentliga uppköpserbjudande avseende Global IP Solutions (GIPS) Holding AB (publ) (“Bolaget”) kontrollerar mer än 90 procent av aktierna i Bolaget, föreslår att extra bolagsstämman den 23 juli 2010 beslutar att antalet styrelseledamöter skall vara fyra (4) utan suppleanter. Google föreslår att följande personer väljs till nya styrelseledamöter för tiden intill slutet av nästkommande årsstämma:

The shareholder Google Acquisition Holdings Inc. (”Google”) which, after the completion of its public takeover offer for Global IP Solutions (GIPS) Holding AB (publ) (the ”Company”) controls more than 90 percent of the shares in the Company, proposes that the Extraordinary General Meeting to be held on 23 July 2010 resolves that the Board of Directors be composed of four (4) ordinary Board members with no alternate Board members. Google proposes that the following persons be elected new Board members during the period until the end of the next Annual General Meeting:

 

-    Donald Harrison, Deputy General Counsel and Assistant Secretary, Google Inc.

-   John Herlihy, Vice President, Global Ad Operations, Google Inc.

-   Graham Law, Regional Controller, Google Inc.

-   Lloyd Martin, Corporate Controller, Google Inc.

 

Google föreslår vidare att Donald Harrison väljs till styrelsens ordförande samt att styrelseledamöterna inte skall erhålla något arvode.

Google further proposes that Donald Harrison be elected Chairman of the Board and that the Board members shall receive no remuneration.
